Charitable Status
NB: Details to follow after the change to CIO
The Almshouse Trust is a Charitable Incorporated Organisation
A Charitable Incorporated Organisation (CIO) in the UK is a legal structure designed exclusively for charities, providing them with a separate legal personality and limited liability for trustees. Regulated solely by the Charity Commission (not Companies House), it simplifies administration for charities to own property, enter contracts, and employ staff, with either "Foundation" or "Association" models available
Key Features and Benefits of a CIO:
-
Single Registration: CIOs only register with and report to the Charity Commission, avoiding the dual regulation of charitable companies (Charity Commission + Companies House).
-
Constitutional Structure: CIOs operate based on a constitution rather than a memorandum and articles of association.
-
Types: Two main models are the "Association" CIO (voting members) or "Foundation" CIO (fewer or no independent members)
-
Limited Liability: Trustees and members are generally protected from personal liability for the charity's debts.
-
Separate Legal Personality: The charity can hold property, enter contracts, and sue or be sued in its own name
